1. Acceptance of Terms
Paitify (“Service”) is operated by Bera Software & Consultancy Ltd (company number 12073744, registered in England and Wales), referred to in these Terms as “Paitify,” “we,” “us,” or “our.” By accessing or using the Service, you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time. Continued use of the Service following notification of changes constitutes acceptance.
2. Description of Service
Paitify is a spend policy engine designed for autonomous AI agent systems. The Service enables companies to define spend policies in the Paitify dashboard, authorize individual agent payment requests against those policies in real time via a single API call, and maintain an audit trail of every decision, reviewable in the dashboard. The Service is offered exclusively as cloud-hosted SaaS — there is no self-hosted or on-premises deployment option.
We reserve the right to modify, suspend, or discontinue the Service (or any portion thereof) at any time with reasonable notice.
3. User Accounts and Responsibilities
To use the Service, you must create an account. You are responsible for:
- Maintaining the confidentiality of your API keys and credentials
- All activity occurring under your account
- Ensuring that all agents using your API key comply with these Terms
- Notifying us immediately of any unauthorized account access
- Providing accurate account information and keeping it up to date
4. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Facilitate fraudulent financial transactions or money laundering
- Circumvent payment controls or compliance requirements
- Attempt to reverse-engineer, decompile, or extract source code
- Use the Service in ways that damage, disable, or impair our infrastructure
- Scrape or harvest data from the Service in an unauthorized manner
- Resell, sublicense, or redistribute the Service without authorization
We reserve the right to suspend or terminate accounts that violate this policy without prior notice.
5. Policy Evaluation and Your Responsibility
Paitify evaluates payment authorization requests against policies that you define and configure in the dashboard, and returns a decision (approve or deny) with a reason. We do not choose, recommend, or set your policies for you, and we do not review individual authorization requests before a decision is returned.
You are solely responsible for the policies you configure, for the accuracy and adequacy of those policies for your business, and for how your systems and agents act on the decisions Paitify returns. To the maximum extent permitted by law, Paitify is not liable for any payment made, blocked, delayed, or missed as a result of a policy you configured, a policy you failed to configure, or your system's handling of an authorization decision.
6. Not a Payment Processor
Paitify is a decision and audit layer only. We are not a payment processor, money transmitter, e-money institution, or other regulated financial services provider, and nothing in the Service should be construed as such. Paitify never holds, transmits, custodies, or otherwise processes funds on your behalf or on behalf of any third party. Moving money — charging a card, initiating a transfer, settling with a merchant — remains entirely your responsibility and is carried out by your own systems and payment providers, outside of Paitify.
7. API Usage, Rate Limits, and Plan Quotas
Your plan determines your agent count, monthly authorization quota, and per-minute rate limits, as described on our pricing page. Requests exceeding your plan's monthly authorization quota will be rejected until the quota resets or you upgrade your plan. We reserve the right to impose rate limits at our discretion to ensure service stability for all users.
You are responsible for designing your agent systems to handle rate-limit and quota-exceeded responses gracefully. Abuse of the API, including intentional flooding or circumventing rate limits, may result in account suspension.
8. Data Ownership
You retain ownership of all data you submit to the Service, including policy configurations, agent identifiers, and transaction data. By submitting data to the Service, you grant Paitify a limited license to process and store that data solely for the purpose of providing the Service to you.
We do not claim ownership of your data and will not use it for purposes other than operating and improving the Service. Aggregated, anonymized data may be used for statistical analysis and product improvement.
9. Audit Log and Compliance
The audit log is a record of the authorization decisions Paitify made and the reasons for them. It is designed to support your own compliance and audit processes, but we do not warrant that it satisfies the requirements of any specific law or regulation (including, without limitation, the EU AI Act or the Sarbanes-Oxley Act). Determining what records your business is legally required to keep, and whether Paitify's audit log meets that requirement, remains your responsibility.
10. Service Availability
We target 99.9% uptime for the Service, but we do not provide a service level agreement (SLA) on the Free or Starter plans. Growth-plan customers with specific availability requirements should contact us to discuss a written SLA. Planned maintenance windows will be announced with at least 24 hours notice.
If the Service is unavailable or returns an error, your agent's API call will simply receive an error response — it is your responsibility to configure your own systems' fail-open (proceed without authorization) or fail-closed (block the payment) behavior for that case; Paitify does not make that decision for you.
The Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free operation.
11. Payment and Billing
Paid plans are billed monthly in advance. All fees are non-refundable except as required by law or as expressly stated in these Terms. You authorize us to charge your payment method on file for all applicable fees.
If payment fails, we will notify you and provide a grace period before downgrading or suspending your account. We reserve the right to change pricing with 30 days notice.
12. Intellectual Property
The Service, including its software, algorithms, design, and documentation, is owned by Bera Software & Consultancy Ltd and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use it as described herein.
Feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Paitify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the total fees you paid to Paitify in the 12 months preceding the claim.
As set out in Section 5, Paitify is a policy evaluation and decision tool. You are solely responsible for the financial and operational decisions made by your AI agents. We do not guarantee that our policy engine will prevent all unauthorized or unintended expenditures.
14. Indemnification
You agree to indemnify and hold harmless Paitify, its officers, directors, employees, and agents from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from: your use of the Service, your violation of these Terms, or your AI agents' actions.
15. Termination
You may terminate your account at any time by contacting us. We may terminate or suspend your account immediately if you violate these Terms or if we are required to do so by law.
Upon termination, your right to use the Service will cease. Account data (such as your company profile and policy configurations) is retained for 30 days after termination, during which time you may export it, and is then deleted. Your audit log is not deleted on termination or otherwise — see our Privacy Policy for how audit log visibility and retention work.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
